Copyright and Intellectual Property Notice

1. About this Notice

This Copyright and Intellectual Property Notice applies to the Gidi Medics website available at gidimedics.com, all related webpages, portals and digital services, and all mobile applications operated under the Gidi Medics brand, including the Gidi Medics patient application and Gidi Medics Provider application.

In this Notice, the website, mobile applications, provider portal, patient portal and related digital services are collectively referred to as the “Gidi Medics Platform.”

2. Copyright Ownership

Except where otherwise stated, all intellectual property rights in the Gidi Medics Platform and its original content are owned by, licensed to or lawfully used by Gidi Medics.

This includes, without limitation:

• Website and mobile application designs;
• Software, source code and object code;
• Databases and database structures;
• User interfaces and user experience designs;
• Text, articles, service descriptions and educational materials;
• Graphics, illustrations, icons and visual elements;
• Photographs, videos and audio materials;
• Reports, templates, forms and documents;
• Logos, colour schemes and brand materials;
• Appointment, booking and provider-management functionality; and
• The selection, arrangement and presentation of content on the Gidi Medics Platform.

These materials are protected by applicable copyright, intellectual property and related laws, including the Copyright Act 2022 of the Federal Republic of Nigeria and applicable international copyright agreements.

Nigeria’s current principal legislation is the Copyright Act 2022, which commenced in March 2023. Copyright protection may extend to original software, databases, written materials, designs and other creative works.  

3. Limited Permission to Use the Platform

Gidi Medics grants users a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Gidi Medics Platform solely for its intended healthcare, appointment-booking, provider-management and related purposes.

Users may view or download materials only where the Platform expressly provides that functionality and only for personal, professional or internal business use connected with receiving or providing Gidi Medics services.

No ownership rights are transferred to users through access to or use of the Platform.

4. Prohibited Uses

Unless Gidi Medics has provided prior written permission, users must not:

1. Copy, reproduce, republish, upload, post, transmit or distribute any part of the Gidi Medics Platform;
2. Modify, translate, adapt or create derivative works from the Platform or its content;
3. Sell, rent, license, sublicense or commercially exploit the Platform or any part of it;
4. Reverse-engineer, decompile, disassemble or attempt to discover the source code, algorithms or underlying structure of any Gidi Medics application or software;
5. Remove, obscure or alter any copyright, trademark, ownership or proprietary notice;
6. Copy or imitate the Platform’s design, user interface, workflows, icons, page layouts or visual appearance;
7. Use automated tools, bots, crawlers, scrapers or data-extraction systems to access or collect content from the Platform without written authorisation;
8. Use Gidi Medics content, data or materials to develop, train, test or improve artificial intelligence or machine-learning systems without written permission;
9. Use the Platform’s content in a way that falsely suggests endorsement, partnership or affiliation with Gidi Medics; or
10. Use any Gidi Medics intellectual property for unlawful, misleading, fraudulent or competitive purposes.

These restrictions do not limit any use that cannot lawfully be restricted under applicable law.

5. Gidi Medics Name and Branding

The names “Gidi Medics,” “Gidimedics,” associated logos, application icons, slogans, colour combinations, service names and other brand identifiers are trademarks, trade names or branding assets belonging to or licensed to Gidi Medics.

Nothing on the Gidi Medics Platform grants any right or licence to use these marks without prior written approval.

Users must not use any Gidi Medics name, logo, icon, domain name or branding in a manner that may cause confusion, misrepresent an association with Gidi Medics or damage the reputation of Gidi Medics.

Copyright and trademark protection are distinct: copyright may protect original creative materials and software, while registration may provide additional protection for names and logos used as commercial brands.  

6. Patient and Provider Content

Patients, healthcare professionals and other authorised users may submit or upload information through the Gidi Medics Platform, including profile information, appointment details, professional credentials, documents, photographs, messages and healthcare-related records.

Users retain any intellectual property rights that they lawfully hold in their original content.

By submitting content to the Platform, the user grants Gidi Medics a limited, non-exclusive, worldwide and royalty-free licence to host, store, reproduce, process, transmit and display that content only to the extent reasonably required to:

• Operate and secure the Platform;
• Deliver requested healthcare or administrative services;
• Facilitate appointments and communications;
• Maintain legally required records;
• Provide technical support;
• Prevent fraud or misuse; and
• Comply with legal and regulatory obligations.

This licence ends when the content is no longer required for these purposes, subject to applicable legal, clinical, accounting and record-retention requirements.

Users must not upload content that they do not own or have permission to use.

Personal information and medical information are handled in accordance with the Gidi Medics Privacy Policy and applicable data-protection requirements. The current Privacy Policy already identifies patient, medical, device and payment-related information processed through Gidi Medics services.  

7. Healthcare-Professional Materials

Healthcare professionals using the Gidi Medics Provider application may provide consultation notes, professional profiles, educational materials, treatment information or other professional content.

Except for rights expressly granted to Gidi Medics for operating and administering the service, healthcare professionals retain ownership of original materials they create, subject to:

• Patient rights;
• Confidentiality obligations;
• Medical-record requirements;
• Employment or contractor agreements;
• Professional regulations; and
• Applicable law.

No healthcare professional may upload copyrighted medical publications, images, assessment tools or third-party materials unless they have the necessary permission or licence.

8. Third-Party Materials

The Gidi Medics Platform may contain third-party software, libraries, photographs, maps, payment tools, video-conferencing services, fonts, icons or other materials.

These materials remain the property of their respective owners and may be subject to separate terms and licences.

The inclusion of third-party materials does not transfer ownership to Gidi Medics or to users of the Platform.

Apple requires applications that display, contain or access third-party content to possess the necessary rights or legal permission for that content in each country where the application is distributed.  

9. App Stores and Device Platforms

Apple, the Apple logo, App Store, iPhone and iOS are trademarks of Apple Inc.

Google, Google Play, Android and related marks are trademarks of Google LLC.

Gidi Medics is responsible for the Gidi Medics applications. Apple, Google and other distribution platforms do not own the Gidi Medics content, branding or services merely because an application is distributed through their stores.

Any third-party trademarks appearing on the Platform belong to their respective owners.

10. Copyright Infringement Reports

Gidi Medics respects the intellectual property rights of others.

A person who believes that material available through the Gidi Medics Platform infringes their copyright should send a written notice containing:

• Their full name and contact details;
• Identification of the copyrighted work;
• Identification and location of the allegedly infringing material;
• An explanation of why the use is believed to be unauthorised;
• Evidence that they own the relevant rights or are authorised to act for the owner;
• A statement that the information supplied is accurate; and
• Their physical or electronic signature.

Only include [email protected] after creating and monitoring that mailbox. Your website currently publishes the Lekki address, telephone number and general email contact.  

Gidi Medics may remove or restrict access to disputed material while investigating a properly submitted infringement report.

11. Enforcement

Unauthorised use of Gidi Medics intellectual property may result in:

• Suspension or termination of access;
• Removal of unauthorised material;
• A request to cease and desist;
• Claims for damages or compensation;
• Recovery of reasonable enforcement costs; or
• Other legal remedies available under applicable law.

Failure by Gidi Medics to enforce a right immediately does not constitute a waiver of that right.

12. No Implied Licence

Except for the limited permission expressly provided in this Notice, no licence or right is granted by implication, estoppel or otherwise in relation to any copyright, trademark, software, database, design, confidential information or other intellectual property belonging to Gidi Medics.

All rights not expressly granted are reserved.

13. Changes to this Notice

Gidi Medics may update this Notice to reflect changes to the Platform, its applications, its business operations or applicable law.

The revised version will be published with an updated “Last updated” date. Continued use of the Platform after publication of an updated Notice will be subject to the revised version.
